Terms of Service

1. Agreement

These Terms govern your access to and use of CommonSpecs — the website commonspecs.com, the API, the reference skill, the MCP server, and related services (the “Service”). The Service is operated by YNOTS sp. z o.o. (registered seat: ul. Rakowicka 10B, 31-511 Kraków, Poland; KRS 0001191921, NIP 6751818253, REGON 542604468; contact@ynots.ai; +48 690 354 418) (“YNOTS”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you confirm you are authorised to bind it.

You need an account with a verified email address. Free accounts require no payment card. You are responsible for the accuracy of your details, for keeping your password and API Tokens secret, and for all activity under your account or Tokens. Notify us promptly of any unauthorised use. The Service is intended for businesses and professionals and is not directed to children under 16.

4. Plans, fees, and taxes

We offer tiered plans as described on our pricing page. Paid plans are billed through Stripe; by subscribing you authorise the recurring or usage-based charges for your plan. Fees are exclusive of VAT and other applicable taxes, which we add where required (EU VAT-OSS; reverse charge for eligible B2B customers in the EU). Enterprise and bulk arrangements are governed by a separate written contract, which prevails over these Terms to the extent of any conflict.

7. Contributions and licence

When you submit a Contribution, you grant YNOTS a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable licence to host, use, reproduce, modify, aggregate, derive from, and redistribute that Contribution — through the API (all tiers) and in bulk datasets — as part of the Service. You represent that you are entitled to submit the Contribution and to grant this licence, and that the Contribution is, to your knowledge, accurate and not unlawful. You retain any rights you hold in your Contribution outside this licence. We record your acceptance of these Terms (including date and version) when you contribute.

8. Extraction and your environment

Our reference skill and MCP integrations run in your environment, under your control and your own third-party LLM subscription. Any fetching or extraction of third-party pages performed by your LLM occurs on your machine, using your tokens, at your direction and responsibility. You are responsible for complying with the terms and robots policies of any website you direct your tools to access. We do not control, and are not responsible for, your LLM provider or actions taken in your environment.

9. Data accuracy — no warranty on Specifications

Specifications are community- and machine-sourced and provided “as is”, each with a confidence and quality score indicating reliability. We do not guarantee that any value is accurate, complete, or current, and we never invent values. Do not rely on Specifications for safety-, health-, legal-, or financial-critical decisions without independent verification. The scores are guidance, not a guarantee.

10. Intellectual property

As between you and us, YNOTS owns the Service and the CommonSpecs database — including its structure, schemas, scoring, and rankings, and our substantial investment in verifying and organising it (protected, among other things, by the sui generis database right under Directive 96/9/EC and the Polish Database Protection Act of 27 July 2001). Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable right to use API output internally; this does not include any right to resell or redistribute it. “CommonSpecs” and our logos are our trademarks.

11. Availability and changes

The Service is provided on an “as available” basis. We do not provide an uptime service level except where expressly agreed in an Enterprise contract. We may modify, suspend, or discontinue features, and may introduce or change limits, at any time.

12. Suspension and termination

We may suspend or terminate your access for breach of these Terms, abuse, non-payment, chargeback, or legal or security reasons. You may stop using the Service and close your account at any time. Provisions that by their nature should survive termination (including Sections 7, 9, 10, 13, 14, and 16) will survive.

13. Disclaimers and limitation of liability

To the maximum extent permitted by law, the Service is provided without warranties of any kind. We are not liable for indirect, incidental, or consequential damages, or for lost profits or data. Our total aggregate liability for any claim is limited to the fees you paid for the Service in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

14. Indemnification

You will indemnify YNOTS against third-party claims arising from your Contributions, your use of the Service in breach of these Terms, or your infringement of any third-party right.

15. Changes to these Terms

We may update these Terms; we will post the new version with a new “Last updated” date and, for material changes, give reasonable notice. Continued use after changes take effect means you accept them.

16. Governing law and jurisdiction

These Terms are governed by the laws of Poland, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Disputes are subject to the exclusive jurisdiction of the courts competent for the registered seat of YNOTS, except where mandatory law gives a different competent court.
